1. Acceptance of Terms
By accessing or using Seonity's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use our services.
Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction to use our services. By using Seonity, you represent and warrant that you meet this age requirement and have the legal authority to enter into this agreement. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Service
Seonity provides AI agents that help businesses attract organic traffic through automated content creation and optimization. Our service includes AI-powered tools, analytics, and reporting features.
No Guarantee of Results: While our AI agents are designed to help attract organic traffic, we make no guarantees regarding specific outcomes, search engine rankings, traffic volume, or business results. Results vary based on numerous factors beyond our control, including but not limited to market conditions, competition, and content quality.
Service Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice, including features, functionality, or availability. We are not liable for any modification, suspension, or discontinuation of the service.
3. User Accounts
To use our service, you need to create an account. You agree to:
- Provide accurate information
- Keep your account secure
- Notify us of any unauthorized access
- Take responsibility for all activities under your account
4. Acceptable Use
You agree not to:
- Use the service for illegal purposes
- Violate any laws or regulations
- Infringe on others' intellectual property
- Transmit harmful code or malware
- Attempt unauthorized access to our systems
- Abuse or overload our service
- Impersonate others or collect user data without permission
5. Content and Intellectual Property
Your Content: You retain all ownership rights to the content you submit to Seonity. By submitting content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable (solely to our service providers), transferable license to use, reproduce, modify, adapt, publish, and display your content solely for the purpose of providing and improving our services. This license terminates when you delete your content or account, except for content that has been shared with others or used in aggregated, anonymized form for service improvement.
Our Platform: All content, features, functionality, software, code, algorithms, user interface, and design of the Seonity platform are owned by Seonity and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services or software.
AI-Generated Content: Content generated by our AI systems is provided "as is" without any warranties of accuracy, completeness, or fitness for a particular purpose. You are solely responsible for:
- Reviewing all AI-generated content before use
- Ensuring compliance with applicable laws and regulations
- Verifying factual accuracy
- Ensuring compliance with third-party platform policies (search engines, social media, etc.)
- Any consequences arising from the use of AI-generated content
We make no representations that AI-generated content is error-free, original, or will achieve any specific results.
6. Payment and Billing
Fees: Access to certain features requires payment of subscription fees as described in our pricing plans. All fees are stated exclusive of any applicable taxes, which you are responsible for paying. Fees are non-refundable except as required by applicable law or as expressly stated in these terms.
Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. By providing payment information, you authorize us and our payment processors to charge your payment method on a recurring basis. You agree to maintain valid payment information on file.
Failed Payments: If payment fails, we may suspend your access to paid features until payment is received. You remain responsible for any outstanding amounts. We may charge a reasonable fee for failed payment processing.
Price Changes: We reserve the right to modify our pricing with at least 30 days' advance notice via email or through the service. Price changes will take effect at the start of your next billing cycle. You may cancel your subscription before the new prices take effect to avoid the changes.
Taxes: You are responsible for all applicable taxes, duties, and governmental assessments. If we are required to collect or pay taxes, they will be charged to you in addition to the subscription fees.
7. Cancellation and Termination
Cancellation by You: You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will be effective at the end of your current billing period. You will not receive a refund for any unused portion of the subscription period, except as required by law.
Termination by Us: We reserve the right to suspend or terminate your account immediately if:
- You violate these Terms of Service or our Acceptable Use Policy
- You fail to pay applicable fees within 15 days of the due date
- Your use of the service poses a security or legal risk to us or others
- We are required to do so by law or court order
- You engage in fraudulent activity or abuse of the service
Effect of Termination: Upon termination or cancellation:
- Your right to access and use the service immediately ceases
- You remain responsible for any outstanding fees owed
- We may delete your account and data in accordance with our data retention policy
Data Export: You have 30 days from the date of termination or cancellation to export your data from the service. After this period, we have no obligation to maintain or provide your data.
Data Deletion: Unless required by law to retain data, we will delete your personal data within 90 days of account termination, except for:
- Data needed for legal or regulatory compliance
- Aggregated, anonymized data used for analytics
- Data in backup systems (deleted within 180 days)
Survival: Sections of these terms that by their nature should survive termination will remain in effect, including but not limited to: Content and Intellectual Property, Payment obligations, Disclaimers and Limitations, Indemnification, and Legal provisions.
8. Disclaimers and Limitations
Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEONITY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Merchantability, fitness for a particular purpose, and non-infringement
- That the service will be uninterrupted, secure, or error-free
- That any errors or defects will be corrected
- That the service or servers are free of viruses or harmful components
- The accuracy, reliability, or completeness of any content or information
- That the service will meet your requirements or expectations
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Monetary Cap: Seonity's total aggregate liability for all claims arising out of or relating to these terms or your use of the service shall not exceed the greater of: (a) the total fees you paid to Seonity in the 12 months immediately preceding the event giving rise to the claim, or (b) €100.

Excluded Damages: In no event shall Seonity be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, business, or anticipated savings
- Loss of data or information
- Loss of business opportunity or reputation
- Cost of substitute services
- Any other intangible losses
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if Seonity has been advised of the possibility of such damages.
Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such cases, these limitations will apply to the maximum extent permitted by law.
Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, telecommunications failures, internet service provider failures, third-party service failures, or cyber attacks.
9. Data Protection and Privacy
Privacy Policy: Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms of Service by reference. By using the service, you consent to our data practices as described in the Privacy Policy.
GDPR Compliance: For users in the European Economic Area (EEA), United Kingdom, and Switzerland, we comply with the General Data Protection Regulation (GDPR) and applicable data protection laws. As a user, you have the following rights:
- Right of Access: Request confirmation of whether we process your personal data and obtain a copy
- Right to Rectification: Request correction of inaccurate or incomplete personal data
- Right to Erasure: Request deletion of your personal data ("right to be forgotten")
- Right to Restrict Processing: Request limitation of processing in certain circumstances
- Right to Data Portability: Receive your data in a structured, machine-readable format
- Right to Object: Object to processing of your personal data for direct marketing or legitimate interests
- Right to Withdraw Consent: Withdraw consent at any time where processing is based on consent
- Right to Lodge a Complaint: File a complaint with your local data protection authority

Data Processing: By using our service, you acknowledge that:
- We may process your data to provide and improve the service
- We may transfer data to service providers and processors who assist us
- Data may be transferred to and processed in countries outside your jurisdiction
- We implement appropriate technical and organizational measures to protect your data
Data Retention: We retain your personal data only for as long as necessary to provide the service and fulfill the purposes outlined in our Privacy Policy, or as required by law. Specific retention periods are detailed in our Privacy Policy.
Data Security: We implement industry-standard security measures to protect your data from unauthorized access, alteration, disclosure, or destruction. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
Breach Notification: In the event of a data breach that affects your personal data, we will notify you and relevant authorities as required by applicable law, typically within 72 hours of becoming aware of the breach.
10. Indemnification
You agree to indemnify, defend, and hold harmless Seonity, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
- Your use or misuse of the service
- Your violation of these Terms of Service or any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights
- Any content you submit, post, or transmit through the service
- Any use of AI-generated content that violates laws or third-party rights
- Any breach of your representations and warranties under these terms
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You will not settle any claim that affects us without our prior written consent.
This indemnification obligation survives termination of these Terms of Service and your use of the service.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. When we make material changes, we will:
- Post the updated terms on our website
- Update the "Last Updated" date at the top of these terms
- Notify you via email or through a prominent notice on the service at least 30 days before the changes take effect
Your continued use of the service after the effective date of the revised terms constitutes your acceptance of the changes. If you do not agree to the modified terms, you must stop using the service and may cancel your account.
12. Governing Law and Dispute Resolution
Governing Law: These Terms of Service and any disputes arising out of or related to these terms or the service shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Jurisdiction and Venue: Subject to the arbitration provisions below, you agree that the courts of Nicosia, Cyprus shall have exclusive jurisdiction over any disputes, and you consent to personal jurisdiction in these courts.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or validity thereof (a "Dispute"), shall be finally resolved by binding arbitration administered by the Cyprus Arbitration and Mediation Centre in accordance with their arbitration rules then in effect.
Arbitration Process:
- The arbitration shall be conducted in English
- The place of arbitration shall be Nicosia, Cyprus
- The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if no agreement can be reached within 30 days, appointed in accordance with the arbitration rules
- The arbitrator's decision shall be final and binding
- Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise
- The arbitrator may award any relief that would be available in court
Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You and Seonity agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
Exceptions to Arbitration: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
Time Limitation: Any claim or cause of action arising out of or related to use of the service or these terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
Opt-Out Right: You have the right to opt out of the binding arbitration and class action waiver provisions. To opt out, you must notify us in writing within 30 days of first accepting these Terms of Service by sending an email to legal@seonity.com with the subject line "Arbitration Opt-Out" and including your full name, email address, and a clear statement that you wish to opt out of the arbitration provisions. If you opt out, you and Seonity agree to resolve disputes in the courts of Nicosia, Cyprus.
13. General Provisions
Entire Agreement: These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on the service, constitute the entire agreement between you and Seonity concerning your use of the service. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
Assignment: You may not assign or transfer these Terms of Service or any of your rights or obligations under these terms without our prior written consent. We may assign or transfer these terms, in whole or in part, without restriction, including to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. Any attempted transfer or assignment in violation of this section is void.
Severability: If any provision of these Terms of Service is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect.
Waiver: No waiver of any provision of these Terms of Service shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
No Third-Party Beneficiaries: These Terms of Service are between you and Seonity only. There are no third-party beneficiaries to these terms. No other person or entity shall have any rights under these terms.
Notices: Any notices or other communications required or permitted under these terms must be in writing and will be deemed given: (a) when delivered personally; (b) when sent by confirmed email to the address you provided; (c) three business days after being sent by prepaid internationally-recognized courier service; or (d) five business days after being mailed by first-class, certified or registered mail, postage prepaid, to the address on record.

Export Control: You may not use, export, re-export, import, or transfer the service except as authorized by Cyprus law, the laws of the jurisdiction in which you obtained the service, and any other applicable laws. You represent and warrant that you are not located in a country subject to a Cyprus government embargo or designated as a "terrorist supporting" country, and that you are not on any list of prohibited or restricted parties.
Relationship: Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Seonity. You have no authority to bind Seonity in any respect.
Language: These Terms of Service are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
